These Terms of Service ("Terms") govern your access to and use of the VRYX Labs platform ("Service"), operated by 2WS Holding LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
The Service is intended for use by business entities and their authorized representatives. By using the Service, you represent that you are at least 18 years of age and are using the Service on behalf of a business, not as a consumer.
VRYX Labs and all associated code, algorithms, software, and branding are the exclusive property of 2WS Holding LLC. We grant you a limited, non-exclusive, non-transferable license to access the Service for your own business use. You do not gain any ownership rights in our technology. Conversely, you retain all ownership rights to your proprietary store data and product information; you grant us a limited license to process this data solely to provide the services you have requested.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information during signup and onboarding, and to notify us promptly of any unauthorized use of your account.
The Service is provided on an "as-is" and "as-available" basis. While we strive for high reliability, we do not provide formal uptime guarantees (SLAs) or performance warranties. We are not liable for any service interruptions caused by third-party API providers (including, but not limited to, BigCommerce, payment processors, or your distributors).
All subscription fees are non-refundable. Once a billing cycle has commenced, you are responsible for the fees for that period, regardless of usage. We reserve the right to offer discretionary refunds on a case-by-case basis, but this does not constitute a contractual obligation.
To the maximum extent permitted by law:
Cap on liability: in no event shall the total liability of VRYX Labs (or 2WS Holding LLC) for any claims arising out of or related to these Terms or your use of the Service exceed the total amount of fees actually paid by you to us during the three (3) months immediately preceding the event giving rise to the claim.
Exclusion of damages: in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost sales, or loss of business opportunity, even if caused by a software, sync, or pricing error. You acknowledge that your use of the Service is at your own risk.
We reserve the right to suspend or terminate your account immediately, without notice, if we suspect or determine that you are:
You agree to indemnify, defend, and hold harmless 2WS Holding LLC and its officers from any and all third-party claims, liabilities, damages, or costs (including legal fees) arising from: (a) your use of the Service; (b) the content of your product listings; or (c) your violation of these Terms or the terms of any third-party distributor.
The Service integrates with third-party platforms, including BigCommerce, Stripe, and your distributor(s). We are not responsible for the availability, accuracy, or performance of these third-party services, and your use of them remains subject to their own respective terms.
We may update these Terms from time to time. We will post any changes on this page with an updated effective date. Continued use of the Service following such changes constitutes your acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. These Terms constitute the entire agreement between you and VRYX Labs regarding the Service.
These Terms are governed by the laws of the State of Texas. Any disputes arising under these Terms shall be resolved through binding arbitration in Ellis County, Texas.
